Registering a Thai Company: File It Yourself or Hire an Advisor?
If your founders already agree on ownership, share payments and who can sign for the company, handling the filing yourself may suit you. If those decisions are still open, ask an advisor for a written scope before you pay. The value of the service depends on which decisions and documents it helps you get right.
What do the founders need to settle before filing?
For a Thai private limited company, the Department of Business Development (DBD) sets out a sequence: reserve the name, have at least two promoters prepare the memorandum, arrange subscription of all shares, hold the statutory meeting, collect share payments and submit the application. Its guide specifies a minimum payment of 25% of the share value. Read the DBD incorporation guide (Thai PDF).
Can one director sign on behalf of the company?
Do not assume that being named a director answers that question. DBD asks applicants to specify the directors authorised to bind the company. For example, if two founders expect to sign supplier contracts independently, agree on the signing arrangement before the application is prepared. The DBD guide also says the application must be filed within three months of the statutory meeting. See DBD’s filing instructions and director-authority requirements (Thai PDF).
What should a registration quote cover?
Ask for the professional fee, government charges and any tax to be listed separately. Ask who prepares the memorandum and meeting documents, who checks the signing arrangement, and who responds if the registrar asks for corrections. If you also need monthly bookkeeping or VAT registration, ask for those items to be priced separately.
ACWEISSOR lists company registration from THB 15,000. To request a quote for your circumstances, tell us what the company will do, how many shareholders there will be, whether any are foreign nationals and when you hope to start trading. Ask ACWEISSOR for a registration quote.
